1. Definitions
"Contribution" means any original work of authorship, including source code, object code, documentation, graphics, design, or any modification or derivative work thereof, that is submitted to or incorporated into any product, project, or service owned or managed by SFE LLC.
2. Grant of Copyright License
You hereby grant to SFE LLC a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contributions and such derivative works.
3. Ownership & Title
You acknowledge that all intellectual property rights in the Project, including proprietary architecture, core algorithms, framework design, and foundational systems, are and shall remain the exclusive property of SFE LLC. Your submission of a Contribution does not create any ownership interest in such intellectual property. You retain rights to your original creative work only as licensed under this Agreement.
4. Grant of Patent License
You grant to SFE LLC and its users a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Contribution. If any entity initiates patent litigation against SFE LLC based on an allegation that a Contribution infringes any patent, all patent licenses granted to that entity under this Agreement shall terminate immediately upon written notice.
5. Representations & Warranties
You represent that:
• You are legally entitled to grant the licenses set forth in this Agreement.
• If your employer has rights to intellectual property that you create, you have received permission to make Contributions on behalf of that employer.
• Your Contribution is your original work, or includes third-party material only with all necessary permissions.
• To your knowledge, the Contribution does not infringe any intellectual property rights of any third party.
• The Contribution complies with all applicable laws and regulations.
• All Contributions shall follow SFE LLC naming and versioning standards as documented and updated from time to time.
6. Non-Infringement Warranty
You warrant that your Contribution does not infringe, and will not infringe, any intellectual property rights of any third party. You acknowledge full responsibility for any infringement claims arising from your Contribution.
7. Disclaimer of Warranty
Contributions are provided on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. SFE LLC may refuse, reject, or remove any Contribution in its sole discretion.
8. Limitation of Liability
IN NO EVENT SHALL YOU BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR CONTRIBUTION.
9. Term & Termination
Effective Date: This Agreement becomes effective upon your submission of a Contribution and applies to all Contributions, whether submitted by employees, contractors, volunteers, or community members.
Termination for Breach: If you materially breach this Agreement—including submitting infringing material, violating any warranty, failing to comply with naming conventions, or misrepresenting originality—SFE LLC may: (a) terminate your rights immediately; (b) revoke all licenses for that Contribution and any future Contributions; (c) require removal from the Project and all distributions; and (d) pursue all remedies available at law or equity.
Termination for Convenience: SFE LLC may terminate this Agreement with or without cause by written notice. Termination does not relieve you of obligations for Contributions submitted prior to termination.
10. Confidentiality
You acknowledge that the Project may contain confidential information and trade secrets owned by SFE LLC. You agree not to disclose or use such information except as necessary to perform your Contribution.
11. Entire Agreement & Amendments
This Agreement constitutes the entire agreement between you and SFE LLC regarding Contributions and supersedes all prior agreements. SFE LLC may amend this Agreement at any time. Continued submission of Contributions after amendment constitutes acceptance of amended terms.
12. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of Montana, USA, without regard to its conflict of law principles.
Acknowledgment: By submitting code, mods, or stories to the SFE repositories, you acknowledge that you have read and agree to the terms of this ICLA.
